1Eligibility
The Platform is intended for use by businesses and individuals engaged in the buying or selling of metal scrap on a commercial (B2B) basis. By registering, you confirm that:
- You are at least 18 years old and legally authorized to act on behalf of your business
- The information you provide during registration and KYC verification is accurate and complete
- You hold any licenses, registrations (including GST registration, where applicable), or approvals required to lawfully trade in metal scrap
2Nature of Metlo’s Role
Metlo operates on a principal-trading model. Unless otherwise stated in writing, Metlo purchases material directly from sellers and sells material directly to buyers — Metlo is a counterparty to each transaction, not merely a listing or introduction service.
Accordingly:
- Sellers transact with Metlo as the buyer of record
- Buyers transact with Metlo as the seller of record
- Metlo will be coordinating logistics (pickup and delivery), verification, weighing, and grading process as discussed with the concerned parties
3Registration and Verification (KYC)
- All users must complete registration and KYC verification before transacting on the Platform.
- Metlo reserves the right to approve, reject, suspend, or terminate any registration at its sole discretion, including where information provided cannot be verified or is found to be inaccurate.
- Users must promptly notify Metlo of any change to their business, KYC, banking, or contact information.
4Trading Process
- Pricing: Prices displayed on the Platform reflect live or recent transaction data and are indicative; final pricing for a specific trade is confirmed at the time of quote, bid, or transaction.
- Verification and grading: Material is subject to physical inspection, weighing, and grade verification at pickup (for sellers) and prior to dispatch (for buyers). Metlo’s on-site verification and weighbridge readings are the basis for determining final transaction quantity and value, unless otherwise agreed in writing.
- Auctions/bidding (where applicable): Where transactions occur via bidding, all bids are binding once placed, subject to Metlo’s verification of the winning bidder’s KYC and payment eligibility.
- Disputes: Any dispute regarding weight, grade, or quality must be raised immediately.
5Payment Terms
- To sellers: Payment will be made to the seller’s registered bank account within the timeframe communicated at the time of transaction, subject to successful KYC and bank verification.
- From buyers: Buyers agree to pay the confirmed transaction value in accordance with the payment terms communicated at the time of purchase, prior to or upon delivery as applicable.
All transactions are subject to applicable GST, and Metlo will issue GST-compliant invoices for each completed transaction.
6Logistics
Metlo coordinates pickup and delivery through its own or partnered logistics network. Users are responsible for ensuring safe and reasonable access for pickup/delivery vehicles at the registered location and for the accuracy of the material description provided prior to pickup.
7User Obligations
You agree not to:
- Provide false, misleading, or incomplete information during registration, KYC, or any transaction
- Use the Platform for any unlawful purpose, including trading in stolen, prohibited, or improperly sourced material
- Attempt to circumvent Metlo as principal by using information obtained through the Platform to transact directly with a counterparty outside the Platform
- Interfere with the security or proper functioning of the Platform
8Limitation of Liability
To the extent permitted by applicable law, Metlo’s liability in connection with any transaction is limited to the value of that specific transaction. Metlo is not liable for indirect, incidental, or consequential losses, including loss of business or anticipated profits, except where such liability cannot be excluded under applicable law.
This limitation does not affect Metlo’s obligation to pay sellers or deliver documentation for completed, verified transactions.
9Suspension and Termination
Metlo may suspend or terminate a user’s access to the Platform, with or without notice, in cases of suspected fraud, KYC discrepancies, repeated disputes, non-payment, or breach of these Terms.
10Intellectual Property
All content on the Platform, including the Metlo name, logo, design, and pricing data displays, is the property of Pacific Sales Corporation and may not be copied, reproduced, or used without prior written consent.
11Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
12Changes to These Terms
Metlo may update these Terms from time to time. Material changes will be reflected by updating the “Effective Date” above. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
